SIHL constitution amendment

Message from the SIHL —-
Hi Everyone
I hereby give notification that SIHL is calling a Special Meeting at the Dunedin rink on Sunday 12 April 2009 at 10am. This special meeting is to amend our Constitution to enable us to change our status to be registered as a Charitable Entity with the Charities Commission. Currently we are registered as an Incorporated Society. We would therefore need to amend clause 28 “Winding Up” to the following: “The League shall be wound up in accordance with clause 24 of the Incorporated Societies Act 1908 or relevant clause in subsequent legislation. Upon winding up the net residue of the League shall be distributed to another organisation that is charitable under New Zealand law or for some other charitable purpose recognised under New Zealand law.” We would also have to add the following clauses to our rules:
Any income, benefit or advantage must be used to advance the charitable purposes of the organisation.
No member of the organisation or anyone associated with a member, is allowed to take part in, or influence any decision made by the organisation in respect of payments to, or on behalf of, the member or associated person of any income, benefit or advantage.
Any payments make to a member of the organisation, or person associated with a member, must be for goods or services that advance the charitable purpose and must be reasonable and relative to payments that would be made between unrelated parties.
Any objections to the above – please email me ASAP otherwise these amendments will take place at the special meeting.
